TERMS AND CONDITIONS

These Terms and Conditions define the rules governing the use of the HireThreeJSDevelopers.com website and the services offered through it.

Definitions

  • Agreement – The proposal, these Terms and Conditions, and any supporting documents agreed upon by both the Company and the Client.
  • Client Materials – Content, documentation, or other resources supplied by the Client for use during the Project.
  • Deliverables – The outcomes or work products defined in the Agreement.
  • Company Resources – Internal frameworks, development tools, source code libraries, technical processes, and methodologies used by the Company.
  • Project – The development assignment agreed upon between the Company and the Client.
  • Services – Software development, consulting, or related technical services described in the proposal.
  • Third-Party Components – Software tools, plugins, or resources supplied by external providers that may be used in connection with the Project.

Provision of Services

The Company will provide development services according to the scope and specifications defined in the accepted proposal or service agreement.

Project timelines, deliverables, and responsibilities will be described in the relevant documentation.

Proposal Validity

Unless otherwise specified, proposals issued by the Company remain open for acceptance for thirty (30) days from the date of submission.

After this period, the Company may revise the proposal before continuing discussions.

Fees and Costs

  • Service Fees. The Client agrees to pay the fees specified in the Agreement for the services provided.
  • External Expenses. Costs related to third-party software, hosting services, or external tools may be billed separately when applicable.
  • Additional Expenses. Any previously approved project expenses may be invoiced at their actual cost. 

Payment Terms

Invoices issued by the Company should be paid within five (5) calendar days unless different payment terms are specified in the Agreement.

Payments may be structured according to project milestones or development stages.

Changes to the Project Scope

If the Client requests modifications to the agreed scope of work, such requests must be communicated in writing.

The Company will review the request and inform the Client about any potential impact on cost, timeline, or deliverables.

Where changes substantially affect the Project scope, a revised proposal may be required.

Project Timing and Delays

  • Client-Related Delays. Delays in providing information, approvals, or required materials may affect the project timeline.
  • Company-Related Delays. If circumstances arise that affect the delivery schedule, the Client will be informed as soon as reasonably possible.
  • External Circumstances. Events beyond the reasonable control of either party may result in adjusted timelines without constituting a breach of the Agreement.

Review of Deliverables

Deliverables will undergo internal review before being provided to the Client.

The Client should review the delivered work and provide feedback within a reasonable timeframe to support the continuation of the Project.

Client Responsibilities

The Client agrees to:

  • Provide accurate project requirements and materials
  • Ensure that provided resources do not violate legal or intellectual property rights
  • Respond to communications related to the Project in a timely manner

Failure to provide necessary information may affect the delivery of services.

Public References

Unless otherwise agreed, the Company may reference completed projects in its portfolio, marketing materials, or professional presentations.

Confidential Information

During the course of cooperation, both parties may exchange information that is not publicly available. Such information should be handled responsibly and used only for the purposes related to the Project.

Disclosure to third parties should occur only with permission from the party that provided the information or where disclosure is required by law.

Relationship Between the Parties

The Company provides services as an independent contractor. Nothing in this Agreement establishes an employment relationship, partnership, or joint venture between the parties.

Limitation of Responsibility

To the extent permitted by law, the Company’s financial responsibility in connection with services provided under the Agreement will not exceed the total amount paid by the Client for the relevant Project.

The Company is not responsible for indirect or consequential business losses.

Ownership of Company Resources

Tools, development frameworks, and internal methodologies used by the Company remain its property unless otherwise agreed in writing.

Updates to These Terms

The Company may revise these Terms and Conditions periodically. The version applicable to a Project will be the one in effect at the time the Agreement was accepted.
